Please note that A-Triad has the following terms and conditions to process and streamline any and every project for the benefit of The Client and A-Triad.

1. TERMS AND CONDITIONS
1.1 This document sets out the terms and conditions of the working relationship between A-Triad and The Client and all projects or services that A-Triad may be contracted to produce or provide for the client will be subject to the terms and conditions of the relationship entered into between the parties.
1.2 By the client accepting a quotation issued by A-Triad, they are agreeing to be bound by the terms and conditions contained therein.

Definitions

The Client: This refers to the client that A-Triad will be dealing with.

1.2 Project: This refers to all the services and designs that A-Triad delivers to the Client.

Payment
The Client hereby acknowledges, accepts and confirms understanding that:
2.1 All invoices are payable within 14 business days of receipt. A 50% deposit at the start of the project and the final 50% after final sign-off. A R500.00 service charge is payable on all overdue balances for reissuing invoices. The grant of any license or right of copyright is conditioned on receipt of full payment.

2.2 Should the client fail to deliver necessary content within the pre-agreed timeframe without alternative arrangements, the project will become dormant and a 25% reactivation fee will be charged.

2.3 The Client shall assume responsibility for cost outlays by A-Triad in all collections of unpaid fees and of legal fees necessitated by default in payment. Invoices in default will include but are not limited to fees for collection and legal costs.

2.4 The fees and expenses shown in invoices from A-Triad to the client are set fees only unless an hourly fee has been agreed upon. That fee will be per hour and A-Triad shall keep the client apprised of a tally of hours within a reasonable period of time. Final fees and expenses shall be shown when invoice is rendered.

2.5 The Client shall reimburse A-Triad for all expenses arising from this assignment, including the payment of any sales taxes due on this assignment, and shall advance the Designer for payment of said expenses, including but not limited to Stock Photography, Artwork, and or material needed for the project.

2.6 Monthly Management Services are invoiced monthly in advance on the 25th of each month and payments are due on or before the 7th of the following month.

Communication
The Client hereby acknowledges, accepts and confirms understanding
that:
3.1 Primary communication is done through telephone, e-mail and Skype calls as it is the most efficient method of communication.

3.2 One meeting with The Client per Project is included within Gauteng, South Africa. Additional meetings will be billed for at an hourly rate of R250-00 outside of Sandton, Gauteng, South Africa.

Process of design
The Client hereby acknowledges, accepts and confirms understanding
that:
4.1 General design
4.1.1 All Projects design have 3 change revision limits, which include, but not limited to the 1st, 2nd and sign off revision.

4.1.2 It is in the best interest of The Client to give clear and concise information on changes and revisions.

4.2 Brand Identity Design Process
4.2.1 Stage 1- Logo design based on creative brief: Create 1-3 visual identity directions for The Client, depending on design package. Each direction will be presented as a composition containing both color and black and white formats.

4.2.2 Stage 2 – Revisions: 3 Rounds of revisions on 1 chosen directions from stage 1: group of 3.

4.2.3 Stage 3 – Refinement: Last 2 rounds of revisions on 1 chosen direction from stage 2.

4.2.4 Stage 4 – Export and brand identity design: Sign off on the logo is required before any other branding is presented to The Client. Remaining branding to be completed includes 3 rounds of revisions. Final designs are presented to the client for the final payment to be settled. Once payment has been made, all designs are exported in the correct formats and delivered to The Client.

4.3 Web Design Process
4.3.1 Stage 1- Brief : A creative brief is completed by The Client and/or a meeting is held to create the initial layout and presentation of the website.

4.3.2 Stage 2 – Design: After ‘Stage 1’ has been presented to The Client, feedback is given to A-Triad. Final content is delivered by The Client. The 2nd revision of the website is then designed and presented to the client.

4.3.3 Stage 3 – Refinement: At this stage all content should be uploaded onto the website. Final changes and refinement is amended and presented to the client. Should there be any further refinement or changes necessary after ‘Stage 3’, these changes will be charged separately. Website is then signed off and the final payment is settled. SEO and Google Analytics is installed and handed over to The Client and/or transferred to retainer phase.

Pay Per Click Advertising (Google AdWords)
The Client hereby acknowledges, accepts and confirms understanding
that:
5.1 A-Triad does not guarantee leads or conversions but only clicks.
5.2 Google Spend Funds are transferred to A-Triad who will deposit The Client’s Google account. Please note that there is a transaction fee of R25 for every R1000 transferred to Google. This will be invoiced to The Client at the end of every month.
OR
Payment methods can be set up with The Client’s credit card details to save on transfer costs.

Cancellation
The Client hereby acknowledges, accepts and confirms understanding that:
6.1 In the event of cancellation of any projects, ownership of all copyrights and the original artwork shall be retained by A-Triad, and a cancellation fee for work completed, and expenses already incurred, shall be paid by The Client, unless the cancellation is done within the first 10 working days after the deposit is paid at which 50% of the initial deposit will be refunded.

6.2 A 100% cancellation fee is due once the project has been finished, whether delivered to The Client or not.

Credit lines
The Client hereby acknowledges, accepts and confirms understanding that:
7.1 A-Triad and any other creators shall receive a credit line with any editorial usage. If similar credit lines are to be given with other types of usage, it must be so indicated at the start of the project.

Releases
The Client hereby acknowledges, accepts and confirms understanding that:
8.1 The Client shall indemnify A-Triad against all claims and expenses, including attorney’s fees, due to the uses for which no release was requested in writing or for uses that exceed authority granted by a release.

Limitation of liability
The Client hereby acknowledges, accepts and confirms understanding that:
9.1 The Client agrees that it shall not hold A-Triad or employees liable for any incidental or consequential damages that arise from A-Triad’s failure to perform any aspect of the project in a timely manner, regardless of whether such failure was caused intentional or negligent acts or omissions of A-Triad or The Client, any client representatives or employees, or a third party.

Acceptance of terms
The Client hereby acknowledges, accepts and confirms understanding that:
10.1 The action of the sending a receipt of this agreement via electronic method will hold both parties in acceptance of these terms. A-Triad as sender and The Client as recipient will acknowledge acceptance of these terms either through e-mail approval or any payment of deposit.

Method of delivery
The Client hereby acknowledges, accepts and confirms understanding that:
11.1 After final deposit has been settled and final sign-off has been given all Brand Identity designs will be given in their relevant formats.

11.2 Please note that websites are designed using the CMS program WordPress and that if after sign-off The Client requests login to the site that A-Triad will not be held liable for any damage or changes done by The Client.

Domains
The Client hereby acknowledges, accepts and confirms understanding that:
12.1 Should A-Triad be responsible for domain registration and invoice The Client for the domain, it will remain the property of A-Triad until the total web design invoice as been settled.

12.2 Please note that if the domain registration is not invoiced for, the domain remains the property of A-Triad and not The Client
